Subsequent to the Extraordinary General Meeting of Redell Mining Corp. (now FM Resources Corp) held on March 25, 1998 at which the re-organisation of the Company was approved by the shareholders, a dissident group of shareholders filed a Petition with the Supreme Court of British Columbia.

Following discussions with this group, agreement has been reached with the Petitioners whereby, inter alia, a hearing scheduled for the last week of August 1998 has been adjourned for at least 30 days and the principal matter pertaining to the Petition has be referred to a member of the ADR Chambers (Alternate Dispute Resolution). The findings of this member and any recommendations he may have are to be submitted to both parties within thirty days.

It is expected that an independent review of these matters should facilitate resolution of this disagreement.
